Welcome to visit, register, log in, and use XINWEI EDUCATION products and services.

1. Notice Clauses

1.1 Careful Reading

Before registering or using any page of XINWEI EDUCATION (including accessing any course materials, discussion forums, or using other electronic services), please read this User Agreement (hereinafter referred to as "Service Terms") carefully and fully understand its content, especially the clauses that exempt or limit liability. Such clauses may be highlighted in bold to draw your attention.

1.2 Contractual Actions

These Service Terms constitute an agreement between you and XINWEI EDUCATION (hereinafter referred to as "this Agreement"). Whether or not you are a registered user, once you begin using any of the services provided by XINWEI EDUCATION, you are deemed to have read, understood, and agreed to be bound by all of the terms and conditions of this Agreement. If you do not wish to be bound by the terms of this Agreement, please stop using the services provided by XINWEI EDUCATION.

1.3 Minor Usage Notice

If you are under 18 years old, please read this Agreement and use the product under the supervision and guidance of a legal guardian. Failure to do so may result in account suspension or termination.

1.4 Agreement Amendments

XINWEI EDUCATION reserves the right to modify these Service Terms at any time without prior notice. Any modifications to the Service Terms will take effect immediately upon posting on this page. Continuing to access the XINWEI EDUCATION website or other applications after any modifications will be deemed as your acceptance of the modified Service Terms and all other modifications made by XINWEI EDUCATION. Please visit this page regularly to stay informed about the latest version of the Service Terms. Unless otherwise stated, any new content that expands the "service scope" or enhances functionality is subject to this Agreement and the Privacy Policy.

2. Network Conduct Guidelines

2.1 User Responsibility

You agree to be responsible for your use of the services and products provided by the Company and as well as any content that you post, upload or otherwise submit (‘User Generated Content’).
"User-generated content" refers to all content submitted, posted, published, and distributed by you and other users on the services and products provided by the Company, including but not limited to all posts, comments, videos, and uploaded files. You agree to use the services and products provided by the Company in accordance with these Service Terms, the principles of good faith, and all applicable laws and regulations. You must not use the services and products provided by the Company for illegal or unlawful activities. You agree to respect local social morals, ethics, and customs and avoid involving the Company in any political or public events due to your use of the services and products provided by the Company.
If your actions violate these provisions, you shall bear full legal and administrative responsibility, including but not limited to potential lawsuits, fines, or other sanctions imposed by relevant authorities or institutions. For any damages suffered by the Company or third parties due to your actions, you shall legally compensate them, and the Company shall not be liable under such circumstances.

2.2 Prohibited Actions

As a condition of using the Company's services, you must not attempt to damage, disable, overload, or impair the Company's servers or websites connected to the Company's servers, or interfere with others' use of the services and products provided by the Company, such actions include, but are not limited to, denial-of-service attacks (DoS attacks), distributed denial-of-service attacks (DDoS attacks), and any other form of cyber attack. Violations of these prohibited actions will result in immediate suspension or termination of your account, potential legal action, and you may be required to compensate XINWEI EDUCATION for any losses incurred.
You must not attempt to gain unauthorized access to the products, other accounts, software and hardware systems, or networks connected to the Company's servers through hacking, password cracking, or any other means. You must not obtain or attempt to obtain data and information stored on the Company's websites, other applications, servers, and related computers through improper means.
You must not obtain, copy, modify, distribute or use XINWEI EDUCATION's data by any improper means unless you have been expressly authorised to do so by XINWEI EDUCATION or unless the act is for legitimate backup purposes.
XINWEI EDUCATION reserves the right to monitor and record your usage behaviour to ensure that you comply with these Terms. XINWEI EDUCATION may take technical measures to protect its network and services from unauthorised access or use.
XINWEI EDUCATION reserves the right to periodically update the list of prohibited actions to cover new violations that may arise with technological advancements.

2.3 Strictly Prohibited Content

Defamatory, harassing, or threatening content directed at others.
Content discussing attempts to engage in illegal activities.
Content infringing on others' intellectual property rights or other legitimate rights related to intellectual property.
Vulgar, pornographic, obscene, violent, or illegal content.
Advertising or other forms of commercial promotion.
Content related to political activities, including but not limited to, political propaganda, campaigning or any form of political mobilisation.
Viruses, trojans, worms, packet bombs, tampered files, malware, spyware, or other similar content that could harm the operation of others' computers or property.
Maliciously fabricated or intentionally misleading content.
XINWEI EDUCATION reserves the right to add new prohibited content as needed.

Additionally, you agree not to scrape or bulk download content from the services and products provided by the Company, including but not limited to user lists or directories, online textbooks, user-generated content, or user information. When using the services and products provided by the Company, you must not impersonate or attempt to impersonate others. Violations of these prohibited actions will result in immediate suspension or termination of your account, potential legal action, and you may be required to compensate XINWEI EDUCATION for any losses incurred. XINWEI EDUCATION reserves the right to take appropriate measures, including but not limited to warnings, usage restrictions, or permanent bans. XINWEI EDUCATION reserves the right to add new prohibited content as needed to reflect changes in the law, advances in technology, and changing societal standards. Additionally, the company has the right to pursue corresponding legal responsibilities against users who violate these conduct guidelines.

3. User Accounts and Permissions

3.1 Personal Information Management

You have the right to access, correct, and delete your personal information. If you wish to modify or delete your personal information, you can do so through the following methods:

Access Personal Information: You can log in to your account to view your personal information.
Correct Personal Information: To correct your personal information, you can make changes directly in your account settings.
Delete Personal Information: To delete your personal information, you can contact us using the contact information provided in this Agreement. Note that due to backup systems, your request may not take immediate effect, but we will process your request as soon as possible.

3.2 Personal Information Processing

To fully participate in the various activities of this product, you must provide your name,phone number, WeChat account, or email address and a user password to create a user account (hereinafter referred to as "User Account"). If applicable laws and regulations require it, you must provide real identity information. If the information you provide is incomplete or false, you may not be able to use this product or may face restrictions during use, including but not limited to limited access to certain features.

Courses purchased by you are only for the use and study of the registered users and cannot be used for other purposes:

One account must not be used by multiple people. You must not transfer or share your account with any third party, including, but not limited to, friends, family, co-workers, classmates or other individuals. You must not sell your account or share it freely on the internet or in any other form. Violation of this provision may result in immediate suspension or termination of your account. Depending on the situation, XINWEI EDUCATION may also require the user to pay compensation, which includes any illegal gains and losses incurred by XINWEI EDUCATION (calculated as the actual number of users multiplied by the course price).
Courses, questions, services, etc., provided by XINWEI EDUCATION are only for personal study. Commercial promotion, offline distribution, technical development, or any other non-personal use is strictly prohibited. Violation of this provision may result in suspension or termination of your account, and XINWEI EDUCATION reserves the right to pursue legal action.

If you fail to properly manage your account, you may suffer consequences such as account theft or password loss, for which you will be solely responsible. When setting up your User Account, you may be asked to provide additional optional information (such as your industry or school). You guarantee that all information provided is true, accurate, and current, and you agree to update your personal information promptly to keep it up-to-date. If any loss or inconvenience results from inaccurate or outdated information provided by you, you will be solely responsible.

We take the confidentiality and security of your personal information very seriously. Please refer to our Privacy Policy for more details on what information we collect and how we use it. XINWEI EDUCATION will take reasonable technical and administrative measures to protect your personal information from unauthorised access, use or disclosure.

All taxes and fees associated with your use of XINWEI EDUCATION's network services or access to XINWEI EDUCATION's network platform servers, as well as any hardware, software, service, or other expenses, are your responsibility to pay. Any liability incurred by you as a result of any violation of any law or regulation is your sole responsibility and XINWEI EDUCATION is not liable.

4.Service Usage Guidelines

4.1 Instructions

（1）Unless marked as belonging to the public domain, the content provided by the company, including but not limited to the courseware, examination materials, videos, images, and other course materials, is protected by the copyright laws of the People's Republic of China (hereinafter referred to as "China") and other countries. Unless otherwise expressly stated by this product, the contents are for your personal use only in taking related courses. You may not reproduce, distribute, display, perform or in any other way use this content in any way without the express written authorisation of XINWEI EDUCATION. If you infringe on the company's copyright or other intellectual property rights, the company reserves the right to take legal action, including but not limited to seeking damages, injunctions, and other remedies.

（2）Some reference documents, digital textbooks, articles, and other information provided by the company are used under license from third parties and must be used in accordance with the relevant rules and terms published with them. You agree to comply with the licensing terms as specified by the licensors, By using the services and products provided by the company, you agree to comply with all such rules and terms.

（3）You agree to retain all copyright and other notices on the content you obtain from the company. All rights to the content provided by the company are reserved unless explicitly authorized. Without the written permission of the relevant rights holders, you may not use or create derivative works in any form.

（4）You should make your own judgement as to whether your use complies with the scope of fair use under copyright law. XINWEI EDUCATION is not responsible for reviewing whether your use complies with the fair use standard.

4.2 User Content Posting

User content-related representations and warranties

By submitting or distributing your user-generated content, you confirm, represent, and Userwarrant that you have or have obtained the necessary rights, licenses, consents, and/or permissions to copy and publicly distribute the user-generated content and to authorize XINWEI EDUCATION and its users to copy, modify, publish, and otherwise use and distribute your user-generated content as you permit. You agree that neither submitting user-generated content nor granting the aforementioned authorization will infringe upon any copyrights, trade marks, patents, trade secrets, rights of privacy, rights of publicity or any other intellectual property or proprietary rights of third parties.You (and not the company) are solely responsible for your user-generated content, the consequences of its posting or publication, and the aforementioned authorization or in any way related to such infringement. If you breach this warranty, you agree to indemnify XINWEI EDUCATION and its affiliates, subsidiaries, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to any infringement of third-party rights caused by your user-generated content. XINWEI EDUCATION reserves the right, but has no obligation, to monitor, review or edit User Content. XINWEI EDUCATION reserves the right to remove or disable access to any User Content upon receipt of a notice of copyright infringement or other reasonable grounds.

4.3 Rights Retained by XINWEI EDUCATION After Account Cancellation

If you request to cancel your registered user status from XINWEI EDUCATION and the request is approved by XINWEI EDUCATION, your account will be canceled, and your user agreement relationship with XINWEI EDUCATION will be terminated. However, after the cancellation of your account, XINWEI EDUCATION retains the following rights:

（1）After cancellation, XINWEI EDUCATION has the right to retain your registration data and previous behavior records;

（2）After cancellation, if you engaged in illegal activities or breached contracts on the XINWEI EDUCATION platform before the cancellation, XINWEI EDUCATION still has the right to exercise the rights stipulated in this user agreement;

（3）After cancellation, if you previously made inappropriate statements or spread false information on other platforms, damaging the reputation of XINWEI EDUCATION or harassing other users, XINWEI EDUCATION has the right to publicly disclose data related to your learning process, service content, chat records, learning records, and other relevant materials. Even after your account has been cancelled, XINWEI EDUCATION reserves the right to retain or delete any User-Generated Content previously posted or submitted by you in accordance withXINWEI EDUCATION 's Content Management Policy.

4.4 Trademarks and Other Marks

（1）Use of the Company's Trademarks and Service Marks: The name, logo, and seal of "XINWEI EDUCATION" are its specific trademarks or marks. Without the prior written consent of the owner, you may not use any of the aforementioned trademarks, other marks, or their variations. You may not use any of the aforementioned trademarks or their variations for any form of promotion, advertising or commercial uses, nor may you use your products or services in any manner that could mislead the public into believing that your products or services are associated with, endorsed by, or supported by XINWEI EDUCATION. Violation of this provision may result in legal action and account termination.

（2）Any trademarks displayed on the company's website or through the company's products that are not owned by the company are the property of their respective owners. XINWEI EDUCATION's display of these third party trademarks does not constitute any form of endorsement or approval.

（3）No content provided by the company's services and products should be interpreted as granting an express or implied license to use any trademark displayed on the company's website or other applications without the written consent of the trademark owner.

（4）If a rights holder believes that the content provided by the company's services and products infringes on their legitimate rights, the rights holder should immediately contact the company.

4.5 Disclaimer / Liability Limitation

（1）The company and any information, content, or services provided by it are offered "as is," without any express, implied, or other warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such implied warranties are not allowed by applicable law.

You understand and agree that the company's services are provided based on the current technology and conditions available. The company and its members (as defined below) will make every effort to provide you with the services, but they cannot foresee and prevent all legal, technical, and other risks, including but not limited to force majeure, viruses, trojans, hacker attacks, system instability, defects in third-party services, and government actions that may lead to service interruptions, data loss, and other losses and risks. Within the limits permitted by law, The company and its members do not guarantee that the operation of the services and products provided will be uninterrupted or error-free, that the services and products provided will be free of viruses or other harmful content, or that the courses or content provided will meet your needs and expectations. The company and its participants do not guarantee the accuracy, completeness, timeliness, or quality of the services and products, any courses, or content, nor do they guarantee that any specific course will continue to be offered. In no event shall XINWEI EDUCATION and its members be liable for direct, indirect, incidental, special, punitive or consequential damages (including, without limitation, damages for loss of profits, business interruption, loss of data, or other commercial damages) arising out of the use of, or the inability to use, the services, even if New Dimensions Education has been advised of the possibility of such damages. "Company members" include course lecturers, other entities, and their staff who provide information, content, and services to the company.

（2）You bear all risks associated with using the company's services and products and any content or services obtained through the company. You decide whether to access the company's website or any referenced applications and whether to download information, materials, or data through such applications, and you bear all risks. You are solely responsible for any damage to your property (including your mobile device system) or data loss resulting from downloading or using such materials or data, except as explicitly provided in the company's privacy policy.

Disclaimer of User-Generated Content. You understand that while using the company's services and products, you will encounter user-generated content from various sources, and you agree that the company or its members are not responsible for the accuracy, utility, reliability, or intellectual property rights of user-generated content. You further understand and acknowledge that you may encounter inaccurate, unpleasant, defamatory, inappropriate, or offensive user-generated content, and you agree to waive any rights or remedies you may have against XINWEI EDUCATION or any company member related to such content. The company or any company member does not endorse any user-generated content or any views, recommendations, or suggestions expressed therein. The company or any company member has no obligation to monitor any user-generated content or any other user communications through the company's website or other applications.

However, the company reserves the right to review, edit, or delete any user-generated content in whole or in part at any time and for any reason, and to allow company members to do so at its discretion.

（3）Subject to the ongoing effectiveness of the above provisions, upon receiving notice from a user or content owner alleging that certain user-generated content does not comply with these terms of service, the company has the right to investigate such claims and, in its sole discretion, decide whether to delete the user-generated content (the company reserves the right to do so at any time without notice). Additionally, the company has the right to take measures, including but not limited to terminating your access to the company's services and products and pursuing legal action, based on the nature of your actions.

（4）Links to Third-Party Websites. The company's services and products may contain hyperlinks to websites maintained or controlled by others. The company and its members are not responsible for any content or services provided by such websites or their use and do not regularly screen, approve, review, or endorse such content or its use. If you decide to access linked third-party websites, you do so at your own risk.

To the maximum extent permitted by applicable law, you agree that the company and its members shall not be liable for any direct or indirect losses suffered by you arising from or related to: (1) these terms of service; (2) your or any third party's use or inability to use the company's services and products; (3) content you post on the company's website or other applications; or (4) your reliance on information provided by the company or obtained through the company, regardless of whether your claim is based on contract, tort, or other laws. Specifically, to the maximum extent permitted by applicable law, the company and its members shall not be liable for any indirect, punitive, special, or consequential damages, whether foreseeable or not, and regardless of whether the company and its members were negligent or had other faults (including but not limited to claims of defamation, errors, loss of profits, data loss, or data transmission interruption).

5. Indemnification

You agree to indemnify and hold harmless the company, its members, and their respective affiliates, subsidiaries, officers, employees, students, research institutes, board members, agents, and contractors from and against any and all claims, suits, or demands made by any third party arising out of, resulting from, or in any way related to your use of the product, including but not limited to any and all claims, actual or consequential losses, lawsuits, judgments, litigation costs, and attorney fees of any kind or nature. In such circumstances, the company and its members will notify you in writing of such claims or litigation.

6. Miscellaneous Items

6.1 Credits. You have recognized and agreed that the results of the company's website or other applied learning related courses are not directly related to the credits of colleges and universities. If higher education institutions have relevant requirements or specific prerequisites, XINWEI EDUCATION does not guarantee that any third-party educational institution will accept the results of these courses for credit or to satisfy certain prerequisites, and assumes no responsibility in this regard.

6.2 Termination Rights. You may cease the course and its content.You agree that the Company reserves the right, in its sole discretion, to terminate your use of or participation in the Company's Services and products for any reason or for no reason at any time upon notice to you. It is a core principle of the Company to terminate users who consistently violate copyright in appropriate cases. The Company and its members reserve the right at any time, in their sole discretion, to cancel, delay, or reschedule any course offered through the Company, adjust the format of the course, or discontinue the provision of some or all of the content of the Product or related Services, You agree that neither the Company nor its members shall be liable to you for any such action.If you no longer wish to participate in the services and products provided by the Company, you are free to terminate at any time. The rights granted to you by these Terms of Service will terminate upon termination of your right to use the services and products provided by the Company, but the other provisions of these Terms of Service will survive such termination. However, other provisions of these Terms of Service, including but not limited to disclaimers, limitations of liability, intellectual property rights and dispute resolution provisions, will survive such termination.

6.3 All agreements. This Service Agreement constitutes the entire agreement between you and the Company with respect to your use of the Services and products provided by the Company and supersedes any prior agreement between you and the Company with respect to your use of the Products.

6.4 Waiver and divisibility of the Terms of Service. The Company's failure to exercise any right or enforce any provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court shall, to the extent possible, give effect to the parties' intent as reflected in these Terms and the remaining provisions of these Terms of Service shall remain in force and effect.

6.5 Law application and jurisdiction. You agree that the Terms of Service and any claim or action arising out of or in connection with the Terms of Service or any content or service obtained through the Company shall be governed by the laws of the People's Republic of China (for the purposes of this Agreement, excluding the Hong Kong Special Administrative Region, the Macao Special Administrative Region and the Taiwan Region) (excluding Conflict of Laws), and if there is no such provision, Reference should be made to general international business management and/or industry practices.You agree that all such claims and actions shall be submitted to the court of competent jurisdiction of the place where this Agreement is executed, namely Sanya, Hainan Province, and you agree to waive any objection to the jurisdiction of such court.
